These Bitcoin Business Network Membership Terms and Conditions ("BBN Terms") apply to your purchase and use of membership in the Bitcoin Business Network ("BBN"), provided by Twenty One Collective Ltd (trading as "The Bitcoin Collective") ("we", "us", "our"). BBN is offered through joinbbn.com.
If there is any conflict between these BBN Terms and the Website Terms of Use, these BBN Terms take priority for BBN membership.

1) Definitions
"BBN": the Bitcoin Business Network membership community and benefits.
"Member": the person and/or business purchasing BBN membership (including approved representatives and Seat holders).
"Member Benefits": the features included in membership, which may include introductions, events, a member briefing, a member directory, and partner discounts and perks.
"Directory": the BBN member directory (strictly opt-in).
"Partner": a third party who may provide discounts or services to Members.
"Seat": an individual named place within a multi-seat membership (for example the Corporate tier), allocated to a specific person.
2) Education only: not financial advice
All content, discussions, briefings, presentations, resources, introductions and communications provided through BBN are for information and education purposes only. They do not constitute financial, investment, tax or legal advice, and nothing we provide is a recommendation to buy, sell or hold Bitcoin or any other asset.
You are solely responsible for your decisions. You should seek independent advice from a suitably qualified professional before making financial or business decisions.
3) Eligibility and applications
BBN is intended for business leaders and decision makers. We may require an application before membership is approved.
We may accept or reject applications at our discretion to maintain a relevant, high-trust network. You agree that application information you provide is accurate and up to date.
4) Membership term, pricing and payment
4.1 Membership term
BBN membership is sold as a 12-month subscription ("Membership Term"), starting on the date we confirm your membership.
4.2 Pricing
Membership pricing will be shown at checkout or set out in writing if invoiced. Prices are shown inclusive or exclusive of VAT as indicated at checkout or on your invoice; where VAT applies, it will be charged at the applicable rate. Price changes may apply to future renewals but will not affect a current Membership Term.
4.3 Payment methods
We accept payment by card (typically via Stripe) and may offer other payment methods from time to time. We also accept bank transfer where agreed.
Bank transfer: access may begin once we confirm cleared funds and membership approval.
Failed payments: if payment fails, we may suspend access until payment is successfully completed.
Chargebacks: if you raise a chargeback or payment dispute that we reasonably consider unjustified, this is a breach of these BBN Terms. We may suspend access while it is resolved and recover any resulting fees and costs.
5) Corporate and multi-seat memberships
Some membership tiers (for example the Corporate tier) include a set number of named Seats, as shown at checkout or set out in writing.
The contracting party for a multi-seat membership is the business. The business is responsible for all fees and for its Seat holders' compliance with these BBN Terms.
Each Seat is allocated to a named individual. Member Benefits tied to a Seat (including any Directory listing and introductions) belong to that named individual and end if they cease to hold the Seat.
If a Seat holder leaves the business or changes role, the business may nominate a replacement for the remainder of the Membership Term by notifying us, subject to our approval to maintain network trust.
Memberships and Seats are personal to the business and its named individuals. They may not be sold, shared with, or transferred to anyone outside the business without our written consent.
6) Auto-renewal, cancellation and non-renewal
6.1 Auto-renewal
Membership auto-renews annually unless cancelled before the renewal date. By purchasing, you authorise us to take the renewal payment using the payment method on file (or to invoice you if you pay by bank transfer and have agreed invoicing).
6.2 How to cancel renewal
You can cancel auto-renewal by emailing hello@bitcoincollective.co, or via any cancellation method we make available to you, before the renewal date. Cancellation stops the next renewal; your access continues until the end of your current Membership Term.
6.3 Non-renewal
If you cancel auto-renewal or choose not to renew, membership ends at the end of the current Membership Term.
7) Refund policy
Because BBN provides access to Member Benefits during the Membership Term, fees are non-refundable once membership access begins.
Consumer cancellation rights (where applicable): if you are a consumer purchasing online, you may have a legal right to cancel within 14 days. However, by purchasing membership and requesting immediate access to BBN, you agree that the service begins immediately and you acknowledge that you lose any right to cancel once access is provided.
8) Member Benefits and service changes
We will provide Member Benefits as described on our Website (or in writing). We may change, replace, pause or remove specific benefits where needed (for example, if a venue becomes unavailable or a Partner programme ends), provided that the overall membership offering remains broadly comparable over time.
We do not guarantee any specific outcomes (for example, introductions leading to commercial results or any financial outcome).
9) Events
Some BBN events may be included in membership; others may require an additional ticket or may have limited capacity. We may refuse entry or remove attendees for behaviour that threatens safety or materially impacts the experience of others.
9.1 Recording and image consent
We and our representatives may photograph, film and record BBN events. By attending, you agree that we may capture your image, voice and contributions and use this material for BBN and The Bitcoin Collective marketing, content, and archival purposes across our channels.
If you do not wish to appear in published material, please tell us in advance or at the event, and we will take reasonable steps to accommodate this. We cannot guarantee exclusion from wide-angle or crowd footage.
Where we tell you a session is held in confidence or off the record, recording and sharing restrictions apply (see Section 13).
10) Introductions
Introductions are a key feature of the network, but they are not guaranteed. We may decline to make an introduction where we believe it is not appropriate, where it could compromise trust, or where it conflicts with privacy or safety.
You must not use introductions to spam, pressure, or repeatedly solicit Members.
11) Member Directory (strictly opt-in)
The Directory is strictly opt-in. If you choose to create a listing:
your Directory listing (the fields you choose to share) will be visible to all BBN members
you control what information is shared
you must ensure your listing is accurate and not misleading
you must not use the Directory to scrape data, send spam, or build external marketing lists
we may remove listings that breach these BBN Terms or harm trust
You can update or remove your listing by contacting hello@bitcoincollective.co (or via any method we provide within BBN).
12) Partner discounts and perks
Partner discounts and perks are provided by third parties and may change or end at any time. We are not responsible for Partner services, pricing, performance, availability, or disputes between you and a Partner.
You are responsible for conducting appropriate due diligence before using Partner services.
13) Confidentiality and trust
BBN is designed to be a trusted environment. You agree not to share private Member information outside BBN without permission, including:
Member names and contact details
commercial strategies or sensitive business information shared within the network
event discussions shared in confidence
This does not prevent you from sharing your own experiences or general learnings that do not identify Members.
14) Conduct
You must not:
harass, threaten, discriminate against or abuse anyone
share unlawful content or encourage unlawful activity
use BBN primarily for aggressive solicitation or spam
misrepresent your identity, role or business
materially disrupt events, discussions or the experience of others
We may suspend or terminate membership for breach of these BBN Terms.
15) Suspension and termination
We may suspend or terminate your membership immediately if:
you breach these BBN Terms
you fail to pay fees when due
we reasonably believe your conduct threatens trust, safety, or the functioning of BBN
If we terminate for breach, fees are not refundable. If you terminate by non-renewal, access continues until the end of the current Membership Term and fees are not refundable except where required by law.
16) Intellectual property
We (or our licensors) own the rights in BBN materials, briefings, and content we provide. You may use BBN materials internally for your own learning and business context. You must not reproduce or redistribute BBN materials publicly without written permission.
17) Liability and disclaimers
To the extent permitted by law:
we are not liable for indirect, incidental or consequential losses
we are not liable for losses arising from introductions, Member interactions, Partner services, or decisions you make based on BBN content
BBN is provided "as is" and we do not guarantee particular outcomes, results, or opportunities
our total liability for claims relating to your membership is limited to the fees you paid for the relevant Membership Term
Nothing in these BBN Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
18) Force majeure
We are not liable for any failure or delay in providing Member Benefits caused by events beyond our reasonable control, including illness, extreme weather, venue or supplier failure, power or network outages, strikes, acts of government, or public health measures.
If such an event materially affects an event or benefit, we may reschedule it, move it online, or provide a reasonable alternative. This does not by itself entitle you to a refund.
19) Data protection (your obligations)
We process personal data in line with our Privacy Policy.
When you receive another Member's personal data through BBN (for example via the Directory or an introduction), you must handle it lawfully, use it only for the purpose for which it was shared, keep it secure, and not add it to external marketing lists or share it outside BBN without that person's permission. Where you act as an independent controller of that data, you are responsible for your own compliance with UK data protection law.
20) Privacy
Our Privacy Policy explains how we process personal data for BBN (including applications, introductions and the Directory).
21) Assignment and transfer
You may not assign or transfer your membership or these BBN Terms without our written consent. We may assign or transfer our rights and obligations to a successor or in connection with a corporate transaction, provided your rights are not materially affected.
22) General
Entire agreement: These BBN Terms, together with the documents they refer to (including the Website Terms of Use and Privacy Policy), form the entire agreement between us regarding your membership and replace any prior discussions or representations, except in the case of fraud or fraudulent misrepresentation.
Severability: If any provision is found to be invalid or unenforceable, the rest of these BBN Terms remain in force, and the relevant provision will be modified to the minimum extent needed to make it valid.
Waiver: If we do not enforce a right, or delay enforcing it, that is not a waiver, and we may still enforce it later.
Third-party rights: A person who is not a party to these BBN Terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of them.
Notices: We may send notices to the email address you provided. You can contact us at hello@bitcoincollective.co. Email notices are treated as received on the next working day after sending.
23) Changes to these BBN Terms
We may update these BBN Terms from time to time. We will post the updated version and change the "Last updated" date. If changes are material, we will take reasonable steps to notify Members.
24) Governing law
These BBN Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, except where consumer law requires otherwise.
